This Vendor Agreement ("Agreement") is a binding legal contract between Trippi ("Platform", "We", "Us") and you, the independent vehicle operator or fleet owner ("Vendor", "Operator", "You"). By registering as an Operator on the Trippi platform, you agree to be bound by these terms.
1. Services Provided
Trippi provides a technology platform connecting Customers seeking group transportation with Vendors who provide charter vehicles. Trippi is strictly an aggregator and technology intermediary. Trippi does not own, operate, or maintain any vehicles.
2. Vendor Eligibility & Onboarding
- Documentation: You must provide accurate KYC documents, including Business Registration, PAN Card, Aadhaar Card, and valid Bank Account details.
- Vehicle Compliance: All vehicles listed must have valid Registration Certificates (RC), active commercial insurance, fitness certificates, and necessary commercial state/national permits.
- Driver Compliance: Drivers operating your vehicles must hold a valid commercial driving license and undergo necessary background checks.
3. Bookings and Fulfillment
When a Customer requests a booking, you will receive a notification. You are responsible for fulfilling all accepted bookings promptly and professionally.
- Punctuality: You must ensure the vehicle arrives at the designated pickup point on time.
- Vehicle Quality: The vehicle provided must match the description, category, and quality standards advertised on your profile. It must be clean and mechanically sound.
- OTP Verification: You or your driver must collect the 6-digit OTP from the Customer at the time of pickup to officially start the trip on the Trippi platform. Failure to do so may result in the trip being marked as a "No-Show" and forfeiture of payment.
4. Financial Terms & Escrow
Trippi operates a subscription-based model with zero commission on bookings:
- Subscription: Operators must maintain an active subscription plan to list vehicles and receive bookings.
- Zero Commission: Trippi does not charge any booking fees or commissions. You keep 100% of the trip fare.
- Advance Payment & Escrow: Customers pay an advance through the Trippi platform to confirm the booking. This full advance payment is held securely in escrow by Trippi and released to your Operator Wallet only after the trip is successfully marked as "Completed" via OTP verification.
- Direct Payment: The remaining balance of the trip cost is to be collected directly by you from the Customer at the end of the trip. Trippi is not responsible for the collection of this remaining balance.
5. Cancellations & Penalties
Cancellations negatively impact customer trust.
- Operator Cancellation: If you cancel a confirmed booking, you are required to refund any advance amount paid by the Customer in full. Repeated cancellations may lead to account suspension or termination.
- Customer Cancellation: If a customer cancels, you may be entitled to a portion of the advance payment depending on the timing of the cancellation, as outlined in the Cancellation Policy.
6. Taxes and Compliance
You are an independent contractor. You are solely responsible for all taxes, including income tax and GST, applicable to the transportation services you provide. You must issue valid tax invoices directly to the Customer for the full trip amount.
Optional GST Collection: If you are a GST-registered business, you may enable GST collection through your operator dashboard. Trippi will automatically add a 5% GST to the final charter cost presented to customers on your behalf. You remain solely responsible for remitting collected GST to the government. Trippi is strictly a technology provider and is not liable for your tax compliance.
7. Liability & Indemnification
You agree to indemnify and hold Trippi harmless from any claims, damages, liabilities, or expenses (including legal fees) arising from your provision of transportation services, including but not limited to accidents, injuries, property damage, or regulatory violations. Trippi's liability is strictly limited to the platform fee collected for the specific booking in dispute.
8. Termination
Trippi reserves the right to suspend or terminate your Vendor account at any time, with or without notice, for violations of this Agreement, low customer ratings, safety concerns, or fraudulent activity.
